BROAD-BASED CORPORATE TRANSACTIONS COUNSEL ATTORNEY
Location: New York, NY
Our client, an international Amlaw 50 law firm, is seeking a Counsel-level attorney with significant experience in broad-based corporate transactional matters to join its New York office. This is an exceptional opportunity to work on a wide variety of high-value transactions, including private equity M&A and financings, joint ventures, strategic alliances, and investment fund restructurings. The position sits within the firm’s tax department, offering unique exposure to sophisticated, cross-disciplinary matters involving top-tier clients.
Candidate Profile
JD from a top-tier US or Canadian law school with an excellent academic record
Active Bar Admission in New York, in good standing
7–9 years of corporate transactional experience in a large law firm setting
Demonstrated experience with a broad range of transactions, including:
Private equity mergers & acquisitions and financings
Joint ventures and strategic alliance transactions
Restructuring transactions for investment funds
Familiarity with corporate tax matters is advantageous
Ability to manage multiple complex transactions simultaneously
Proven ability to work collaboratively across practice groups and with clients
Soft Skills: Exceptional analytical, drafting, and negotiation skills are essential
Key Responsibilities
Lead and manage corporate transactional matters from inception to closing
Negotiate and draft a wide range of transaction documents, including purchase agreements, joint venture agreements, financing documents, and restructuring agreements
Collaborate with colleagues in tax, finance, regulatory, and other related practice areas to provide integrated legal solutions
Advise clients on deal structures, risk allocation, and strategic considerations
Maintain and strengthen client relationships by delivering high-quality, responsive service

Compensation & Benefits
Base Salary: $360,000+ annually, as determined by experience and market factors.
Bonus Eligibility.
